1. The offer is subject to confirmation by TROPICS on receipt of any order and TROPICS SOLAR reserves the right to refuse any order.
2. The electricity generation is based upon monthly average insolation data for given geographical location. TROPICS assumes no responsibility for variation due to weather or environmental reasons.
3. This offer is confidential, and cannot be reproduced, transmitted or contents here-in shared, in verbal, physical or electronic form without explicit permission from TROPICS.
4. The equipment supplied are for solar power generation at site under authority of Customer (intended end user), and may not be used in any manner otherwise.
5. The customer undertakes to provide reasonable security and safety of the installation. TROPICS SOLAR reserve rights to recover cost and / or initiate legal action in event of damage occurring due to will or gross neglect on the part of Customer.
6. By placing an order the Customer undertakes to use the system exclusively in accordance with all the instructions of manufacturer of the equipment.
7. Title to the equipment supplied shall remain vested in TROPICS, until all payments are made in full.
8. Failure to pay as per this offer shall entitle TROPICS to suspend furtherance of supply and / or initiate legal action to recover cost and damages.
9. In case of cancellation after placement of order, the Customer is liable to pay the full price of the system as determined in this Proposal.
10. Customer shall save, indemnify, defend and hold harmless TROPICS SOLAR, from and against any claims, losses, damages, costs, including without limitation legal cost, expenses and liabilities in respect of:
a) Loss of or damage to property of Customer, whether owned, hired, leased or otherwise provided by customer, arising from or related to performance or non-performance of supply or work covered under this offer, including force majeure.
b) Personal injury including, without limitation, death or disease of any person, arising from or related to performance or non-performance of supply or work covered under this offer, including force majeure.
c) Consequential or Indirect loss due to loss or deferral of production, loss of product, loss of use, loss of revenue, profit or anticipated profit (if any) arising from or related to performance or non-performance of supply or work covered under this offer, including force majeure.
11. All intellectual property developed (design, pictures, videos, data, etc.) in whole or in part by TROPICS in course of performance of work shall belong solely to TROPICS SOLAR.
12. Customer agrees to offer free access to TROPICS nominated representative, to inspect, monitor and upgrade the condition of equipment supplied under this offer.
13. Any dispute arising shall be subject to exclusive jurisdiction of Courts in Pune (Maharashtra).
